Terms of Service
By downloading, installing, or using JingleLayer (the "Software") and the website jinglelayer.org (the "Site"), you agree to these Terms of Service. If you do not agree, please do not use the Software or the Site.
1. The provider
The Software and Site are provided by FOP Artem Kovalchuk, a sole proprietor registered in Ukraine, at 21 Velyka Vasylkivska Street, Office 12, Kyiv, 03150, Ukraine ("we", "us", "our").
2. License
We grant you a non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices included in your plan, for your personal or internal business use. The Software is licensed, not sold. We retain all intellectual property rights.
3. Permitted use
You may use the Software to overlay jingles, idents, sweepers, and similar audio elements on audio tracks you own, license, or have permission to modify. You are solely responsible for ensuring you have the rights to all audio you process with the Software.
4. Prohibited use
You may not:
- Reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law.
- Resell, sublicense, or distribute the Software or your license code to third parties.
- Use the Software for any unlawful purpose or to infringe intellectual property rights of others.
- Circumvent license activation, watermarking, or other technical protections.
5. Your content
The audio files you process with the Software remain yours. We do not claim any ownership and we do not transmit those files to our servers.
6. Updates
We may release updates to the Software. Some updates may add, change, or remove features. Updates are included in active subscriptions and lifetime licenses.
7. Payment, renewal, cancellation
The Software is offered on two monthly subscription plans — Basic ($20/month) and Ultimate ($30/month). Subscriptions are billed in advance through our payment processor and renew automatically each month until cancelled in your account or by emailing us. Cancelling stops future charges; you keep access to paid features until the end of the current billing period.

9. Warranty disclaimer
The Software is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software is uninterrupted, error-free, or compatible with all hardware or software.
10. Limitation of liability
To the maximum extent permitted by law, our total liability arising from your use of the Software shall not exceed the amount you paid us for the Software in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or special damages, including lost profits or lost data.
11. Termination
We may suspend or terminate your license if you materially breach these Terms. You may stop using the Software at any time. Termination does not entitle you to a refund except as provided in the Refund Policy.
12. Governing law
These Terms are governed by the laws of Ukraine. Any dispute will be resolved in the competent courts of Kyiv, Ukraine, unless mandatory consumer protection laws of your jurisdiction provide otherwise.
13. Changes
We may update these Terms. Material changes will be announced on this page. Continued use of the Software or Site after changes means you accept the updated Terms.
